This Service Terms (“Terms”) applies with respect to Your (“You”, “Your”, “User”) purchase, rental, usage, operation and support of all physical POS Terminal from ONE Payments (“We”, “Us”, “ONE Payments”, “Company”) (collectively Parties, and each a Party).
Please read this Terms carefully and ensure that You understand it fully before purchasing, renting and/or using the Point-of-Sale (POS) Terminal.
By purchasing and/or using the POS Terminal constitutes Your acknowledgement, agreement and acceptance of Our Terms.
We strongly recommend and urge that You maintain a copy of this Terms for your records.
means any law, regulation, guidelines, or generally accepted practices, applicable to Merchant’s use, or ONE Payments’ provision of services which includes but not limited to laws governing AML/CFT, consumer protection, data protection, anti-corruption, human trafficking, child or forced labor, gambling, false advertising, illegal sale, purchase or exchange of any goods or services, taxes, data protection etc.
means the security standards for transmitting, processing or storing card data/payment details as required to be observed under the PCI Security Standards
means the point-of-sale device with built in card reader for the purposes of accepting and processing in-person payment options including but not limited to credit/debit cards, NFC or QR-code based wallets, and any accessories or peripherals
means the point in time when the courier engaged by ONE Payments records the POS Terminal as delivered to the delivery address specified by the User, regardless of whether a physical signature is obtained. If a signature is required for delivery and cannot be obtained due to User’s unavailability, the courier’s record of attempted delivery shall constitute Delivery Completion
1.1. In this Terms, unless the context provides or requires otherwise:
a. references to one gender include all genders;
b. words importing the singular includes the plural and vice versa;
c. a person includes references to an individual, a firm, a corporation (where incorporated), unincorporated associations, trusts, and partnerships; d. no provision of this Terms shall be interpreted adversely against a party, solely because that party was responsible for drafting that provision; and
e. any reference to a law, regulation, rule, directive, delegated legislation, enactment or statutory provision is a reference to it as it may have been, or may from time to time be amended, modified, consolidated, re-enacted, or replaced and includes subsidiary legislation made thereunder;
f. references to any document, or agreement include a reference to that document or agreement as varied, amended, supplemented, substituted or assigned from time to time; and
g. headings are for convenience of reference only and will not, in any event, affect the interpretation and construction of this Terms.
2.1. User agrees to:
a. use the POS Terminal in accordance with ONE Payments procedures and/or instructions pertaining to the access and use, as may be issued from time to time by ONE Payments;
b. use the POS Terminal in a lawful manner, and obey all laws, rules and regulations or standards of governmental authority that applies to the use of the POS Terminal which includes compliance with applicable laws related to the use;
c. comply with all applicable PCI-DSS requirements when handling and using the POS Terminal;
d. comply with all notices, instructions or directions in the applicable User Documentation and any other guidelines, policies as provided for by the manufacturer and/or ONE Payments in respect of the POS Terminal, equipment, peripherals and/or software related to Your use or access of the POS Terminal;
e. ensure that only competently trained employees are allowed to operate or use the POS Terminal and adequate security measures are put in place to safeguard the POS Terminal, the data collected by and held in the POS Terminal;
f. use the POS Terminal for the purpose for which they are provided and in accordance with the relevant documentation;
g. not use the POS Terminal to enable any party (including Yourself) to benefit from any activities identified as prohibited as indicated by ONE Payments from time to time. Prohibited business includes the use of the POS Terminal in or for the benefit of a country, organization, entity, or person that is embargoed, blocked or sanctioned by a government, government body and/or competent authority;
h. to obtain, maintain all such licenses, approvals as may be necessary for the performance and observance of Your obligations and Your use of the POS Terminal;
i. not remove, obscure, tamper, delete or alter any trademarks, logos and/or attribution to ONE Payments brand that appear or are displayed in relation to the POS Terminal;
j. not to work around any of the technical limitations implemented into the POS Terminal or enable any functionality that is disabled or prohibited;
k. not to perform or attempt to perform any actions that would interfere with the normal operation of the POS Terminal or negatively impact the use of the POS Terminal;
l. acknowledge that the use of the POS Terminal may be restricted by applicable laws and regulations. ONE Payments will not be responsible for any losses and/or damages which You may suffer as a consequence of such restrictions; and
m. retain all POS Terminal at all times in the custody and control of User.
3.1. The POS Terminal may be unavailable from time to time or ONE Payments may be unable to obtain a sufficient supply of POS Terminal. In such an event, where ONE Payments confirmed User’s order but subsequently learns that the quantity cannot meet User’s requested order, ONE Payments reserves the right to limit, change the quantity or cancel User’s order. When such orders are cancelled by ONE Payments, User will be refunded the purchase price in full.
3.2. The POS Terminal supplied may only be shipped and delivered to Users operating in Singapore.
3.3. User may not: a. purchase the POS Terminal for resale, and ONE Payments reserves the right to refuse, cancel, recall, and/or disable the POS Terminal if found so and/or cancel User’s order if ONE Payments reasonably believes so;
b. enable, or permit any third-party to: i. market, distribute, sell or resell the POS Terminal;
ii. use the POS Terminal in any country apart from Singapore, except as otherwise pre-approved by ONE Payments in writing;
iii. where the POS Terminal is registered to a location (i.e. physical store in Singapore), move the POS Terminal to a new location without prior notification to ONE Payments; or
iv. change (or attempt to change) the location of the POS Terminal from its registered location to a location that is different from its actual physical location.
3.4. ONE Payments reserves the right to tag the POS Terminal to User’s physical storefront and User acknowledges and agrees that ONE Payments reserves the right to conduct audits and inspections to ensure that the POS Terminal are stored, safekept, and utilized at the declared location (i.e. storefront) of User.
4.1. Where ONE Payments reasonably suspects or is aware that User is using or have used the POS Terminal for unauthorised , fraudulent, illegal purposes, or in a manner that exposes ONE Payments to unacceptable risks, ONE Payments may limit or disable the function of the POS Terminal until such time as User demonstrates that ONE Payments’ suspicions are unfounded, or provided sufficient assurance and evidence that the unacceptable use has been properly mitigated and will not re-occur.
5.1. ONE Payments will deliver the POS Terminal using a delivery method selected by ONE Payments. ONE Payments will use its best efforts to meet User’s desired quantity and delivery dates, but in the event of low inventory or other circumstances beyond ONE Payments’ control, ONE Payments will notify User of the circumstance and is not liable for late delivery, loss, damage or penalty incurred by User.
5.2. Risk of loss, damage or theft of the POS Terminal shall pass to the User upon Delivery Completion. ONE Payments shall not be responsible for any loss or damage occurring after Delivery Completion, including where the POS Terminal is collected by any third party at the delivery location..
6.1. User may return the POS Terminal within thirty (30) calendar days from the date of delivery, subject to the following conditions: a. POS Terminal must be in its original condition and packaging, together with the packaging slip (if any); and
b. any and all hardware accessories, peripherals and documentation that is included in the original packaging that was received by User.
6.2. ONE Payments will process the applicable refunds for the POS Terminal upon receipt of the POS Terminal from User, and will refund the purchase price excluding delivery costs to User.
7.1. The POS Terminal, accessories and peripherals are warranted by ONE Payments against defects in materials and faulty workmanship under normal use in accordance with accompanying operating instructions for a period of one (1) year from the delivery date as received by User. POS Terminal that are defective will be replaced on a “one-to-one” basis, where User must return the defective POS Terminal with all accessories and peripherals including the original box. This warranty is only available to User as the original purchaser.
7.2. Any replacement POS Terminal provided under this limited warranty shall continue under the original warranty period and shall not restart or extend the warranty period unless expressly stated in writing by ONE Payments.
7.3. This limited warranty does not apply to POS Terminal, accessories and peripherals subjected to alteration, repair, tampering, accident, abuse, fire, acts of God (including without limitation to earthquake, flood, hurricane, lightning, tornado), pandemics, or other external causes. In addition, it shall also not apply if the damages or defects are caused directly or indirectly by the User or any of the User’s personnel, including: a. damage or malfunction arising from User’s negligence;
b. failure to comply with the notices, instructions, directions, training, guidelines, policies, and/or technical specifications issued by ONE Payments or the manufacturer of the POS Terminal;
c. misuse, abuse, improper or incorrect use or operation of the POS Terminal, including its accessories or peripherals;
d. exposure to elements to which the POS Terminal, accessories and peripherals is not resistant to, such as electrical power surges or inappropriate electric voltage, excessive shocks and knocks, contact with liquids or any harmful agents;
e. unauthorised repairs, modifications, disassembly, variations or adjustments to the POS Terminal, accessories or peripherals without the prior consent of ONE Payments;
f. integration with other systems and/or infrastructure, third-party’s parts or accessories, or other products/services that are not provided by ONE Payments;
g. unsuitable storage or environmental conditions; and
h. normal wear and tear or otherwise due to the normal aging of the POS Terminal, including its parts, components, accessories or peripherals.
7.4. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THIS LIMITED WARRANTY IS PROVIDED IN LIEU OF ANY OTHER WARRANTY, WHETHER EXPRESS OR IMPLIED, WRITTEN OR ORAL, WITH RESPECT TO ANY OF THE POS TERMINAL, ACCESSORIES AND/OR PERIPHERALS. ACCORDINGLY, ONE PAYMENTS EXPRESSLY DISCLAIM ANY WARRANTY OR CONDITION OF MERCHANTABILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PUPOSE, OR AGAINST HIDDEN OR LATENT DEFECTS. TO THE EXTENT SUCH WARRANTIES CANNOT BE DISCLAIMED, THE DURATION AND REMEDIES OF SUCH WARRANTIES IS LIMITED TO THE DURATION OF THIS LIMITED WARRANTY. IN NO EVENT IS ONE PAYMENTS LIABLE FOR ANY LOSS OR DAMAGE OR FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, DIRECT OR INDIRECT DAMAGES HOWEVER CAUSED ARISING OUT OF YOUR INABILITY TO USE ANY OF THE POS TERMINAL, ACCESSORIES AND/OR PERIPHERALS, INCLUDING LOSS OF REVENUE, LOSS OF ACTUAL OR ANTICIPATED PROFITS, LOSS OF GOODWILL OR REPUTATION.
8.1. ONE Payments maximum liability for all claims, suits, demands, actions or other legal proceedings under, arising out of or relating to this Terms whether based on an action or claim in contract, negligence, tort or otherwise shall be limited to the total amount of monies actually paid to and received by ONE Payments under this Terms for the purchase of the POS Terminal.
9.1. Notwithstanding any other provisions within this Terms, ONE Payments will not be liable for any losses arising in connection with the following:
a. any loss, damages or expenses caused by or attributable in whole or in part to Your own act, omission, default or failure to perform Your obligations;
b. any indirect, incidental, consequential or exemplary costs, claims, expenses, loss or damages, even if informed of the possibility of such costs, claims, expenses, loss and damage;
c. downtime costs or lost revenues, profits, business opportunities, anticipated savings, goodwill or value of any equipment;
d. any system, server or connection failure, error, omission, interruption, delay in transmission, computer virus or other malicious, destructive or corrupting code, agent program or macros;
e. any third party claims against the other party for losses or damages
f. loss of data arising out of the access to and/or use of the POS Terminal by You or purported by You; and/or
g. any breach of this Terms by You.
10.1. User acknowledges and agrees that any information and/or documentation received from ONE Payments howsoever transmitted for the purposes of this Terms (collectively “Confidential Information”) are confidential and User hereby undertakes not to disclose or release to any third-party the Confidential Information nor use the Confidential Information for any purposes other than its intended use, without obtaining the prior written consent of ONE Payments. User undertakes to promptly return or destroy all materials containing the Confidential Information and/or any copies to ONE Payments at ONE Payments request.
11.1. User acknowledges and confirms that where any personal data is disclosed to ONE Payments (including but not limited to ONE Payments’ service providers), User has obtained prior consent from the respective parties for the collection, use and disclosure for the purposes the personal data that will be transmitted to ONE Payments (including but not limited to ONE Payments’ service providers). User further warrants that all personal data disclosed is complete, accurate, true and correct.
11.2. User shall have sole responsibility for compliance with laws concerning personal data held or controlled by User in relation to this Terms and User’s use of the POS Terminal.
12.1. User is responsible for installing, integrating and maintaining the POS Terminal, which includes updating the software, firmware, or however it is called as may be required by ONE Payments or the original equipment manufacturer (“OEM”) from time to time. ONE Payments is not obligated to provide services or support for POS Terminal that contains outdated versions of the software.
12.2. ONE Payments shall not be liable for any malfunction or security vulnerability arising from User’s failure to install updates.
12.3. Failure to install updates as instructed may result in degradation of performance, security risks and may void any applicable warranty or support obligations provided by ONE Payments.
12.4. User acknowledges that all software, firmware and operating system components installed on the POS Terminal are licensed, not sold, and that no ownership rights are transferred to the User.
13.1. In no event shall ONE Payments be responsible or liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, pandemics, nuclear or natural disasters or acts of God, interruptions, loss or malfunctions of utilities, communications, hardware or software services. It is understood that ONE Payments shall use reasonable efforts consistent with accepted industry practices to minimize such disruptions or resume disruptions as soon as practicable under these circumstances.
14.1. This Terms shall be governed by, and construed in accordance with the laws of the Republic of Singapore. Parties agree to submit to the exclusive jurisdiction of Singapore.
14.2. If any dispute, controversy or claim arises out of or relating to this Terms, or to the interpretation, breach, termination or validity of this Terms, the parties to the dispute must use their best efforts to resolve such dispute through friendly negotiations or mediation. The negotiations or mediation must begin as soon as possible after one party has delivered to the other party a written notice setting out the matter of the dispute.
14.3. Arbitration: If such dispute is not settled within thirty (30) days after the date of the relevant notice, the dispute must be referred to and resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one (1) arbitrator to be appointed by the President of the SIAC. The language of the arbitration shall be English.
15.1. Any notice or other communication that is intended for You by ONE Payments may be sent to any contact information that You may have provided ONE Payments with. Any notice or communication shall be deemed to have been received: a. if communicated to You through:
i. email, provided that no delivery failure in respect of such email is received, will be deemed as You have received it immediately;
ii. any print or electronic media elected by ONE Payments, on the date of publication or broadcast; or
iii. post or mailing to Your last known address, on the day following such posting or on the day when it was so left.
15.2. Notwithstanding, ONE Payments may from time to time designate other acceptable modes of giving notices (including but not limited to push notification, SMS notifications, or other forms of electronic communication) and the time or event by which such notice is deemed to be given.
15.3. ONE Payments may make changes without prior notice if such changes:
a. is required by Applicable Law or Regulator instruction; or
b. is required to enhance or add functionality to the POS Terminal and do not materially affect the existing Terms or POS Terminal
You will be notified of any changes such changes shall be effective upon notification and You shall be deemed to have agreed to the changes through Your continued use of the POS Terminal.
15.4. If any provision, term or condition of this Terms or part thereof is unenforceable by any legislation which it is subject to, it shall be rendered unenforceable to that extent and it shall not affect or prejudice the enforceability of the remainder of such provision or other provisions of this Terms.
15.5. No failure or delay to exercise or enforce ONE Payments’ rights under this Terms shall be deemed to be a waiver of such rights or operate so as to impede the exercise or enforcement at any subsequent time.
15.6. ONE Payments may assign or transfer any of its rights under this Terms and may delegate or subcontract performance of any obligation (e.g. payment processing or payment channel functions) under this Terms. Unless expressly agreed by ONE Payments, You may not assign Your rights and obligations under this Terms and any purported assignment will be void.
15.7. Save as expressly provided, a party who is not a party to this Terms have no rights under the Contracts (Right of Third Parties) Act 2001 of Singapore.
